1. Acceptance of Terms

By accessing or using VasperaMesh ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

2. Description of Service

VasperaMesh is a deterministic governance control plane for AI agents. The Service records agent actions in a tamper-evident, hash-chained audit ledger, evaluates actions against customer-defined policies, and provides independent verification tooling. Our Service includes:

  • A model-gateway shadow proxy that records agent generations as cryptographic digests
  • A hash-chained, externally anchored audit ledger with public verification
  • Policy authoring, approval workflows, and deterministic gate evaluations
  • GitHub and GitLab integrations, CLI tools, and SDK

3. Account Registration

To use certain features, you must register for an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your password and account
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use

4. Acceptable Use

You agree NOT to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to any systems or networks
  • Interfere with or disrupt the Service or servers
  • Upload malicious code, viruses, or harmful content
  • Violate any applicable laws or regulations
  • Infringe upon intellectual property rights of others
  • Use the Service to send spam or unsolicited communications
  • Attempt to reverse engineer or decompile the Service
  • Resell or redistribute the Service without authorization

5. API Usage and Rate Limits

Your use of our API is subject to rate limits based on your subscription tier. Exceeding these limits may result in temporary restrictions. We reserve the right to modify rate limits with reasonable notice.

6. Intellectual Property

The Service and its original content, features, and functionality are owned by Vaspera Capital LLC and are protected by international copyright, trademark, and other intellectual property laws.

Your Content: You retain ownership of any content you submit. By submitting content, you grant us a license to use, store, and process it as necessary to provide the Service.

7. Third-Party Integrations

Our Service integrates with third-party services (GitHub, GitLab, Stripe, etc.). Your use of these integrations is subject to the respective third-party terms. We are not responsible for third-party services or their actions.

8. Payment and Subscriptions

  • Paid plans are billed in advance on a monthly or annual basis
  • All fees are non-refundable unless otherwise stated
  • We may change pricing with 30 days' notice
  • You are responsible for all taxes associated with your use
  • Failure to pay may result in service suspension

9. The Audit Ledger

The audit ledger is append-only and tamper-evident by design:

  • Ledger rows are immutable once written and cannot be edited or deleted, including by us
  • Rows store cryptographic digests of agent inputs/outputs — not your prompts or completions
  • Chain heads are periodically anchored to public witnesses (e.g. Bitcoin via OpenTimestamps); only a 32-byte hash leaves the service
  • Your chain's export URL is addressed by an unguessable chain id; anyone you share it with can read and verify that chain
  • You are responsible for not submitting content to the ledger's evidentiary fields (agent names, action names, decision reasons) that you do not want retained permanently

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

IN NO EVENT SHALL VASPERA CAPITAL LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.

12. Indemnification

You agree to indemnify and hold harmless Vaspera Capital LLC from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

13. Termination

We may terminate or suspend your account immediately, without prior notice, for any breach of these Terms. Upon termination, your right to use the Service will cease immediately. You may terminate your account at any time through your account settings.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page. Your continued use of the Service after changes constitutes acceptance of the new Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
